741 - Business Organizations: Publicly-held Corporations (formerly Bus Orgs II)

Provides a survey and economic analysis of the legal rules applicable to large public corporations. Topics of coverage include the governance of a widely held corporation, shareholder voting, mergers and acquisitions, leveraged buyouts, fiduciary duties of corporate directors, corporations with a controlling shareholder, corporate social responsibility, insider trading and shareholder activism. The course is designed to be accessible to students without a business background and is strongly recommended for all law students who have an interest in business law.



817 - Business Organizations: Partnership, LLC & Closely Held Corporations (formerly Bus Orgs I)

Law of agency, partnership, limited liability companies, and closely held corporations. Begins with law of principal-agent relationships, the most basic business form, then surveys model statutes and state laws governing the formation and operation of closely-held business associations including general partnerships, limited partnerships, limited liability partnerships (LLPs), limited liability companies (LLCs), and closely-held corporations. The course deals with choice of business entity, forming and financing business enterprises, and economic and control rights within such enterprises. This course is strongly recommended for all law students, not only those who plan to practice business law.



840 - Taxation II

This course introduces federal income tax issues relating to business organizations. It emphasizes statutory analysis and makes extensive use of the problem method. We will study the corporate income tax system for the half of the semester, and the partnership income tax system for the rest of the semester. In addition to learning the fundamentals of corporate and partnership taxation, this course focuses on reading and interpreting the Internal Revenue Code and statutory analysis.
